AssetFlowOnline Terms and Conditions

1. Introduction and Acceptance of Terms

1.1 Welcome to AssetFlowOnline ("the Service"), a Software as a Service (SaaS) platform provided by INVENTIT (PTY) LTD. ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of AssetFlowOnline, including any associated websites, mobile applications, and services.

1.2 By accessing or using AssetFlowOnline, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access or use the Service.

1.3 AssetFlowOnline is designed for business use and is available to companies and organizations of all sizes and industries. By using the Service, you represent that you have the authority to bind your company or organization to these Terms.

1.4 We offer both free and paid subscription plans. The specific features and limitations of each plan are described on our website and may be subject to change. By subscribing to a paid plan, you agree to the additional terms outlined in the Subscription Plans and Payments section of these Terms.

1.5 We reserve the right to update or modify these Terms at any time. We will notify users of any significant changes through the Service or via email. Your continued use of AssetFlowOnline after such modifications constitutes your acceptance of the updated Terms.

2. Definitions

2.1 "AssetFlowOnline" or "the Service" refers to the SaaS platform provided by INVENTIT (PTY) LTD., including all features, functionalities, and user interfaces.

2.2 "User" or "you" refers to any individual, company, or organization that accesses or uses AssetFlowOnline.

2.3 "Account" means a unique account created for you to access our Service.

2.4 "Subscription" refers to the paid plans that provide access to additional features and capabilities of AssetFlowOnline beyond the free plan.

2.5 "Content" refers to any data, information, or material uploaded, inputted, or created by users within the Service.

2.6 "Returnable Assets" refers to reusable items such as pallets and bins that are tracked and managed through the Service.

2.7 "Consumables" refers to one-time use items such as bags and bin liners that are tracked and managed through the Service.

2.8 "Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction.

3. Service Description

3.1 AssetFlowOnline is a SaaS platform designed to streamline the management of assets between warehouses and client sites. The Service offers the following key features:

(a) Tracking and management of returnable assets (e.g., pallets and bins) and consumables (e.g., bags and bin liners).

(b) Real-time visibility of asset locations and movements.

(c) Reporting and analytics tools for asset utilization and performance.

(d) User-friendly interface for easy adoption and use.

3.2 The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice to you.

3.3 AssetFlowOnline offers both free and paid subscription plans. The specific features, limitations, and pricing of each plan are described on our website and may be subject to change.

3.4 While we strive to ensure high availability, the Service may be subject to occasional interruptions due to maintenance, updates, or technical issues. We do not guarantee uninterrupted access to the Service.

3.5 The Service requires an internet connection to function properly. Users are responsible for obtaining and maintaining the necessary equipment and internet services to access and use AssetFlowOnline.

3.6 We may provide updates or require that you update the software to continue using the Service. Such updates may be automatically installed without additional notice or consent.

4. User Registration and Account Security

4.1 To access AssetFlowOnline, you must create an account by providing accurate and complete information as prompted by the registration form.

4.2 You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify us immediately of any unauthorized access to or use of your account.

4.3 You are solely responsible for all activities that occur under your account. We reserve the right to suspend or terminate your account if we suspect any unauthorized use.

4.4 You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you have the legal capacity to enter into these Terms.

4.5 You agree to keep your account information up to date. Failure to maintain accurate account information may result in your inability to access or use the Service.

4.6 We reserve the right to refuse registration of, or cancel, accounts that we deem inappropriate, including accounts with usernames that impersonate others or violate third-party rights.

4.7 You may not share your account credentials with any third party. Each user must have their own unique account.

4.8 If you are creating an account on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

4.9 We may send you important information regarding your account or the Service via the email address associated with your account. It is your responsibility to regularly check and maintain a valid email address.

4.10 Upon termination of your account for any reason, you may lose all data associated with your account. We recommend regularly backing up any critical data.

5. Subscription Plans and Payments

5.1 AssetFlowOnline offers both a free plan and paid subscription plans. The features and limitations of each plan are detailed on our website.

5.2 Free Plan:

(a) The free plan is available to all users at no cost.

(b) It may have limited features compared to paid plans.

(c) We reserve the right to modify or discontinue the free plan at any time.

5.3 Paid Subscriptions:

(a) Paid plans are billed on a monthly basis unless otherwise specified.

(b) Payment is due at the beginning of each billing cycle.

(c) You authorize us to charge your chosen payment method for all applicable fees.

5.4 Pricing for paid plans is subject to change. We will provide at least 30 days notice of any price changes via email or through the Service.

5.5 All fees are exclusive of taxes unless stated otherwise. You are responsible for paying all applicable taxes related to your use of the Service.

5.6 Subscriptions automatically renew unless cancelled by you before the renewal date. You may cancel your subscription at any time through your account settings or by contacting our support team.

5.7 Refunds are provided in accordance with applicable laws. Generally, we do not provide refunds for partial months of service or for months where the Service was used and not cancelled prior to the renewal date.

5.8 If we are unable to process payment for your subscription, we may suspend or terminate your access to paid features until payment is successfully processed.

5.9 You agree to provide and maintain accurate, complete, and up-to-date billing information. Failure to do so may result in interruption of your access to paid features.

5.10 Promotional offers or discounts may be available from time to time. These are subject to specific terms and conditions which will be communicated at the time of the offer.

6. User Obligations and Conduct

6.1 By using AssetFlowOnline, you agree to:

(a) Provide accurate and complete information when using the Service.

(b) Use the Service only for lawful purposes and in accordance with these Terms.

(c) Respect the intellectual property rights of AssetFlowOnline and other users.

6.2 You shall not:

(a) Use the Service for any illegal or unauthorized purpose.

(b) Attempt to gain unauthorized access to the Service or its related systems or networks.

(c) Interfere with or disrupt the integrity or performance of the Service or third-party data contained therein.

(d) Attempt to probe, scan, or test the vulnerability of the system or network, or breach any security or authentication measures.

(e) Share your account credentials with any third party or allow others to access the Service using your account.

6.3 You are responsible for all activities that occur under your account, whether or not you know about them.

6.4 You agree to use the Service in compliance with all applicable local, state, national, and international laws, rules and regulations.

6.5 You shall not upload, transmit, or distribute to or through the Service any computer viruses, worms, or any software intended to damage or alter a computer system or data.

6.6 You shall not send unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters, or other forms of solicitation through the Service.

6.7 You shall not impersonate or attempt to impersonate AssetFlowOnline, a AssetFlowOnline employee, another user, or any other person or entity.

6.8 You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

6.9 We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing the offending content from the Service, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.

6.10 You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. We do not control or monitor the Content posted via the Service and, as such, do not guarantee the accuracy, integrity, or quality of such Content.

7. Intellectual Property Rights

7.1 AssetFlowOnline Intellectual Property:

(a) The Service, including its original content, features, and functionality, is owned by INVENTIT (PTY) LTD. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

(b) The AssetFlowOnline name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of INVENTIT (PTY) LTD. or its affiliates or licensors. You must not use such marks without our prior written permission.

7.2 License to Use the Service:

(a) Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes.

(b) This license does not include any resale or commercial use of the Service or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Service or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

7.3 User-Generated Content:

(a) You retain all of your ownership rights in your content. By uploading content to the Service, you grant INVENTIT (PTY) LTD. a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute it in connection with the Service.

(b) You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all of your content.

7.4 Feedback: If you provide us with any feedback or suggestions regarding the Service, you hereby assign to us all rights in such feedback and agree that we shall have the right to use and fully exploit such feedback and related information in any manner we deem appropriate. You acknowledge that feedback or suggestions provided will not be compensated and become the sole property of INVENTIT (PTY) LTD.

7.5 Third-Party Intellectual Property: The Service may contain content provided by third parties, including other users. We are not responsible for and do not control third-party content. We do not guarantee the accuracy, integrity, or quality of third-party content.

7.6 Copyright Infringement: If you believe that any content on the Service infringes upon your copyright, please contact us with a detailed description of the alleged infringement. We will respond to notices of alleged copyright infringement that comply with applicable law.

7.7 Reservation of Rights: Any rights not expressly granted herein are reserved by INVENTIT (PTY) LTD..

8. Data Privacy and Security

8.1 Data Collection and Use:

(a) We collect and process personal data as necessary to provide the Service, as described in our Privacy Policy.

(b) By using AssetFlowOnline, you consent to the collection, use, and sharing of your information as outlined in our Privacy Policy.

8.2 Data Security:

(a) We implement and maintain reasonable administrative, physical, and technical security measures to protect user data.

(b) Our service operates on the AWS cloud, utilizing advanced encryption protocols for all data transfers and communications.

(c) Data at rest is securely encrypted, and all data is processed and stored within a Virtual Private Cloud (VPC) to enhance security and isolation from external access.

8.3 User Responsibilities:

(a) You are responsible for maintaining the confidentiality of your account credentials.

(b) You agree to notify us immediately of any unauthorized access to or use of your account.

8.4 Data Ownership:

(a) You retain all rights to the data you input into the Service.

(b) We do not own or claim any proprietary rights over the data you provide to the Service.

8.5 Data Processing:

(a) We process your data solely for the purpose of providing and improving the Service.

(b) We do not sell or rent your personal data to third parties for marketing purposes.

8.6 Data Retention:

(a) We retain your data for as long as your account is active or as needed to provide you the Service.

(b) We may retain and use your data as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

8.7 Data Deletion: Upon termination of your account, we will delete your data from our systems within a reasonable time period, except for information we are required to keep for legitimate business or legal purposes.

8.8 Third-Party Access: We do not share your data with third parties except as necessary to provide the Service or as required by law.

8.9 International Data Transfers: Your information, including personal data, may be transferred to — and maintained on — computers located outside of your state, province, country, or other governmental jurisdiction where the data protection laws may differ from those of your jurisdiction.

8.10 Data Breach Notification: In the event of a data breach that affects your personal information, we will notify you in compliance with applicable laws.

9. Limitation of Liability

9.1 To the maximum extent permitted by applicable law, in no event shall INVENTIT (PTY) LTD., its affiliates, agents, directors, employees, suppliers or licensors be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.

9.2 To the maximum extent permitted by applicable law, INVENTIT (PTY) LTD. assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our Service; (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein; (iv) any interruption or cessation of transmission to or from the Service; (v) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party; and/or (vi) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service.

9.3 In no event shall INVENTIT (PTY) LTD., its affiliates, agents, directors, employees, suppliers, or licensors be liable to you for any claims, proceedings, liabilities, obligations, damages, losses or costs in an amount exceeding the amount you paid to INVENTIT (PTY) LTD. hereunder or $100.00, whichever is greater.

9.4 This limitation of liability section applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if INVENTIT (PTY) LTD. has been advised of the possibility of such damage.

9.5 Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. These Terms give you specific legal rights, and you may also have other rights which vary from jurisdiction to jurisdiction. The disclaimers, exclusions, and limitations of liability under these Terms will not apply to the extent prohibited by applicable law.

9.6 The Service is controlled and operated from facilities in South Africa. INVENTIT (PTY) LTD. makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable local laws and regulations.

10. Disclaimers and Warranties

10.1 Service "As Is": The Service is provided on an "AS IS" and "AS AVAILABLE" basis. INVENTIT (PTY) LTD. expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

10.2 No Guarantee of Uninterrupted Service: INVENTIT (PTY) LTD. makes no warranty that (i) the Service will meet your specific requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, and (v) any errors in the Service will be corrected.

10.3 Material Downloaded: Any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

10.4 Advice or Information: No advice or information, whether oral or written, obtained by you from INVENTIT (PTY) LTD. or through or from the Service shall create any warranty not expressly stated in these Terms.

10.5 Third-Party Links: The Service may contain links to third-party websites or services that are not owned or controlled by INVENTIT (PTY) LTD.. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that INVENTIT (PTY) LTD. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.

10.6 Changes to Service: INVENTIT (PTY) LTD. reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that INVENTIT (PTY) LTD. will not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

10.7 Accuracy of Information: While we strive to provide accurate information, we do not warrant that product descriptions or other content of the Service is accurate, complete, reliable, current, or error-free.

11. Termination and Suspension of Service

11.1 Term: These Terms will remain in full force and effect while you use the Service or maintain an account with AssetFlowOnline.

11.2 Termination by User: You may terminate your account at any time, for any reason, by following the instructions on the Service or by contacting our support team. Upon termination, your right to use the Service will immediately cease.

11.3 Termination by AssetFlowOnline: We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

11.4 Suspension of Service: We may suspend your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. This may result from, but is not limited to:

(a) Violations of these Terms or any other policies or guidelines.

(b) A request by you to cancel or terminate your account.

(c) Discontinuance or material modification of the Service.

(d) Unexpected technical issues or problems.

(e) Extended periods of inactivity.

11.5 Effects of Termination: Upon termination of your account:

(a) All licenses and rights to use the Service shall immediately terminate.

(b) You will no longer have access to any data or content stored in your account.

(c) We may, but are not obligated to, delete any of your data stored on our servers.

11.6 Data Retention and Deletion: Following termination or deactivation of your account, we may retain your information and content for a commercially reasonable time for backup, archival, or audit purposes. Furthermore, INVENTIT (PTY) LTD. may retain and continue to use indefinitely all information and content you have provided through the Service.

11.7 Survival: All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

11.8 No Refunds: Fees paid for any subscription term are non-refundable, even if you terminate your account before the end of a paid term.

Violations of these terms may result in account termination, legal actions, fines, and reporting to law enforcement.

12. Modifications to the Service and Terms

12.1 Modifications to the Service:

INVENTIT (PTY) LTD. reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that INVENTIT (PTY) LTD. shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

12.2 Updates to Terms: We may modify these Terms from time to time. Any and all changes to these Terms will be posted on the AssetFlowOnline website and will become effective as of the "Last Updated" date. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms.

12.3 Material Changes: If we make material changes to these Terms, we will notify you by email or through a prominent notice on our website before the changes become effective. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

12.4 Disagreement with Modified Terms: If you do not agree with the modified Terms, your only remedy is to discontinue your use of the Service and terminate your account.

12.5 Changes to Fees and Charges: We reserve the right to change our fees and billing methods at any time. If we make changes to fees for subscriptions to our Service, we will provide notice of the change on the website or in email to you, at our option, at least 30 days before the change is to take effect. Your continued use of the Service after the fee change becomes effective constitutes your agreement to pay the modified fee amount.

12.6 New Features or Products: Any new features or tools which are added to the current Service shall also be subject to these Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

13.2 Jurisdiction: You agree that any legal action or proceeding between you and INVENTIT (PTY) LTD. shall be brought exclusively in the courts located in Stellenbosch, South Africa.

13.3 Dispute Resolution: In the event of any controversy or claim arising out of or relating to these Terms, or the breach thereof, the parties hereto agree first to try and settle the dispute by mediation, administered by a mutually agreed upon mediator in Stellenbosch, South Africa. If settlement is not reached within sixty (60) days after service of a written demand for mediation, any unresolved controversy or claim shall be settled by arbitration.

13.4 Arbitration: Any dispute, controversy or claim arising out of or relating to these Terms, including the formation, interpretation, breach or termination thereof, including whether the claims asserted are arbitrable, will be referred to and finally determined by arbitration in accordance with the South African Arbitration Act. The tribunal will consist of one arbitrator. The place of arbitration will be Stellenbosch, South Africa. The language to be used in the arbitral proceedings will be English. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

13.5 Class Action Waiver: To the fullest extent permitted by applicable law, you agree that any and all disputes, claims and causes of action you may have will be resolved individually, without resort to any form of class action.

13.6 Limitation on Time to File Claims: Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.

13.7 Waiver of Jury Trial: To the extent permitted by applicable law, you and INVENTIT (PTY) LTD. waive any right to a jury trial in any proceeding arising out of or related to these Terms or the Service.

14. Indemnification

14.1 User Agreement to Indemnify: You agree to defend, indemnify and hold harmless INVENTIT (PTY) LTD., its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to:

(a) Your violation of these Terms.

(b) Your use of the Service, including, but not limited to, your User Contributions, any use of the Service's content, services and products other than as expressly authorized in these Terms.

(c) Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right.

(d) Any claim that your User Contributions caused damage to a third party.

14.2 Cooperation in Defense: If INVENTIT (PTY) LTD. is threatened with suit or sued in connection with your use of our Service, we may seek written assurances from you about your promise to indemnify us; your failure to provide those assurances may be considered by us to be a material breach of these Terms.

14.3 INVENTIT (PTY) LTD.'s Right to Assume Defense: INVENTIT (PTY) LTD. reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

14.4 No Settlement Without Consent: You agree not to settle any matter without the prior written consent of INVENTIT (PTY) LTD.. INVENTIT (PTY) LTD. will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

14.5 Survival of Indemnification: This indemnification obligation will survive the termination of these Terms and your use of the Service.

15. Third-Party Links and Services

15.1 Third-Party Content: The Service may contain links to third-party websites or services that are not owned or controlled by INVENTIT (PTY) LTD.. The Service may also allow you to integrate with third-party services.

15.2 No Control Over Third-Party Content: INVENTIT (PTY) LTD. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

15.3 Use at Your Own Risk: You acknowledge and agree that INVENTIT (PTY) LTD. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such third-party websites or services.

15.4 Terms of Third-Party Services: Your use of such third-party websites and services is subject to their terms of service and privacy policies. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit or integrate with AssetFlowOnline.

15.5 Changes to Third-Party Services: We reserve the right to disable integrations with any third-party services at any time, with or without notice, and with no liability to you.

15.6 No Endorsement: The presence of links to third-party websites or the ability to integrate with third-party services does not imply an endorsement by INVENTIT (PTY) LTD. of such third parties, their products, services, websites, or any information provided by them.

15.7 User Responsibility: You are solely responsible for any interactions with third parties accessed through links on our Service or integrations with our Service. You should exercise caution and good judgment in your dealings with third parties.

16. Force Majeure

16.1 Definition: For purposes of these Terms, "Force Majeure Event" means any event beyond INVENTIT (PTY) LTD.'s reasonable control, including but not limited to acts of God, war, insurrection, riots, terrorism, crime, fire, actions of governments, actions of regulatory bodies, failure of utility service or transportation network, malicious damage, strike, lock out or industrial action of third parties, failure of third party suppliers, accidents, breakdown of plant or machinery, storm, flood, earthquake, epidemic, or similar events.

16.2 No Liability: INVENTIT (PTY) LTD. shall not be liable or responsible to you, nor be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any of our obligations under these Terms or in operating the Service when and to the extent such failure or delay is caused by or results from a Force Majeure Event.

16.3 Notice: INVENTIT (PTY) LTD. will use reasonable efforts to notify you of any Force Majeure Event that affects the Service, including the likely duration of such event.
